Education Company Formation in Turkey

Last updated: March 26, 2026

Education Sector Overview in Turkey

Turkey has a large and growing private education sector, spanning preschools, private schools, tutoring centers (dershaneler/etüt merkezleri), language schools, professional training companies, and private universities. Increased household demand for supplementary education, language learning, and professional development has made this sector attractive to foreign investors.

Foreign-owned companies can operate in most segments of the Turkish education market, subject to Ministry of National Education (MEB) licensing requirements.

Step 1: Form a Turkish Company

Educational institutions require a Turkish legal entity. An LLC is the standard structure for most private education businesses:

  • Minimum capital: 50,000 TRY
  • 100% foreign ownership permitted
  • Formation: 5–10 business days

For larger educational groups, a JSC offers better capital structure flexibility.

The articles of association must clearly state educational services, private educational institution operation, language education, and related activities as business purposes.

See our LLC formation guide.

Step 2: Ministry of National Education (MEB) Licensing

Most private educational activities require an operating permit (açılış izni) from MEB. The process involves:

Application Requirements

  • Company formation documents (Trade Registry certificate, tax certificate)
  • Physical facility documents: building permit, occupancy certificate, fire safety certificate, seismic assessment
  • Facility floor plan demonstrating compliance with MEB standards for room size, classroom dimensions, restroom ratios, etc.
  • Curriculum plan (for schools) or course syllabus (for tutoring centers, language schools)
  • Qualified educational staff credentials — school principal must hold required education qualifications
  • Criminal background checks for all educational staff

Facility Standards

MEB sets minimum facility standards:

  • Minimum classroom size per student
  • Library requirements (for K-12 schools)
  • Sports and physical education facilities (for schools)
  • Safety and accessibility compliance

Staff Qualification Requirements

  • Teachers in private schools must have valid Turkish teaching certificates (öğretmenlik belgesi)
  • Foreign teachers can teach with foreign language subject certifications; qualifications must be recognized by YÖK
  • School director (okul müdürü) must meet MEB administrative qualification requirements

Foreign Ownership Rules

100% foreign ownership of Turkish educational companies is permitted. There are no specific nationality restrictions in the education sector.

Foreign nationals can establish and own private schools, language centers, and tutoring operations. However:

  • All staff must meet Turkish qualification requirements
  • Turkish curriculum requirements apply to K-12 schools
  • International schools offering foreign curricula (IB, Cambridge, American curriculum) must apply for special authorization through MEB

International Schools

International schools serving the expatriate community can operate under special authorization from MEB with a foreign-language or internationally recognized curriculum. These schools typically serve:

  • Children of foreign resident families
  • Turkish students seeking internationally recognized qualifications
  • Diplomatic community children

International school authorization requires engagement with MEB’s international education directorate.

Curriculum Requirements for Turkish Schools

Private K-12 schools following the Turkish national curriculum must:

  • Use MEB-approved textbooks for core subjects
  • Apply MEB-defined academic calendar
  • Administer national exam preparation in accordance with MEB standards
  • Submit annual reports to MEB

Private schools may offer elective enrichment programs beyond the MEB curriculum (arts, sports, foreign languages, STEM) without special approval, provided the core curriculum is maintained.

Tutoring Centers and Exam Preparation

Tutoring centers (etüt merkezleri) are highly popular in Turkey given the competitive university entrance exam (YKS) system. Key requirements:

  • MEB operating permit
  • Qualified teachers for each subject offered
  • Student registration records
  • No grade-level teaching of core subjects outside school hours (restrictions apply to prevent direct competition with formal schooling)

Language Schools

Language schools (dil okulları) offering Turkish, English, German, and other languages must:

  • Obtain MEB language school operating permit
  • Have certified language instructors
  • Register course programs with MEB

Professional and Corporate Training

Companies providing corporate training (professional skills, management, IT, HR) are generally classified as general service businesses and do not require MEB permits unless they issue state-recognized certificates. This is the least regulated segment and can be operated as a standard consulting/service company.

If you intend to issue vocational certificates recognized by the state (for skilled trades, safety training, etc.), specific authorization from the relevant ministry is required.

Tax Treatment of Educational Companies

Corporate Income Tax

Educational company profits are subject to 25% corporate income tax.

VAT Exemptions

Certain educational services provided by licensed private educational institutions are exempt from VAT. Specifically:

  • Services provided by MEB-licensed private schools and educational institutions are generally VAT-exempt
  • Corporate training and non-licensed education services may be subject to 20% VAT

Confirm the applicable VAT treatment with a Turkish tax advisor for your specific activity.

Key Compliance Obligations

  • Annual MEB inspection: MEB conducts periodic inspections of licensed educational institutions
  • Student records: Maintain student registration, attendance, and performance records as required by MEB
  • Teacher credentials: All teacher certificates must be kept current and renewed as required
  • Financial reporting: Education companies submit to standard annual compliance requirements — see our Annual Compliance guide

Frequently Asked Questions

Can a foreign national serve as school director? Foreign nationals can serve in educational management roles, but they must meet MEB’s qualification requirements for the position. A school director typically needs a teaching qualification and managerial experience meeting MEB criteria.

How long does MEB licensing take? From application submission to permit issuance, the process typically takes 3–6 months, including document review and facility inspection. Plan for this lead time before opening.

Can I operate an online education platform without MEB licensing? Online education platforms that do not issue state-recognized credentials generally operate without MEB licensing. However, if you market services as “official” education or issue certificates that could be mistaken for state credentials, licensing or specific authorization may be required. Regulations in this space are evolving.

Are there restrictions on private university formation? Yes. Establishing a private university requires passage of a specific law by the Grand National Assembly of Turkey and approval by the Council of Higher Education (YÖK). This is a lengthy, complex, and politically engaged process distinct from standard business licensing.
