Tourism and Hospitality Company Formation in Turkey

Turkey’s Tourism Sector

Turkey is consistently among the world’s top tourist destinations, welcoming 50+ million international visitors annually. The sector encompasses hotels, resorts, travel agencies, tour operators, restaurants, entertainment venues, and a wide range of ancillary services.

Foreign investment in Turkish tourism is actively encouraged, and the government offers special incentive programs for qualifying tourism investments.

Types of Tourism Businesses

Hotels and Accommodation

Hotels, boutique hotels, holiday villages, apart-hotels, pensions (pansiyon), and camping facilities all require an operating certificate (işletme belgesi) from the Ministry of Culture and Tourism or the relevant local authority.

Travel Agencies and Tour Operators

All travel agencies and tour operators must be licensed by TÜRSAB (Association of Turkish Travel Agencies — Türkiye Seyahat Acentaları Birliği) under the Tourism Law. This is a mandatory professional body membership.

Restaurants and Food Service

Restaurants in tourist areas typically require both a municipal business license and a Ministry of Culture and Tourism operating certificate (for establishments in Tourism Operation Zones).

Marine Tourism

Yacht chartering, marina operations, and cruise services are regulated by the Ministry of Transport and Infrastructure in addition to tourism licensing.

Step 1: Form a Turkish Company

Tourism businesses require a Turkish legal entity. An LLC is suitable for most tourism investments:

  • Minimum capital: 50,000 TRY (travel agencies typically need higher practical capital)
  • 100% foreign ownership permitted
  • Formation: 5–10 business days

The articles of association should specify tourism, accommodation, travel agency services, and related activities as business purposes.

Step 2: Ministry of Culture and Tourism Licensing

Tourism Operation Certificate (İşletme Belgesi)

Hotels and accommodation facilities with tourism investment designation must obtain an operating certificate from the Ministry of Culture and Tourism. This certificate:

  • Confirms the establishment meets Ministry standards for its declared category (hotel, boutique hotel, holiday village, etc.)
  • Is required before commencing accommodation services
  • Is issued after inspection of the physical facility
  • Must be renewed if significant changes are made to the facility

Tourism Facility Certificate (Turizm Tesisi Belgesi / Yatırım Belgesi)

For facilities under construction, a Tourism Investment Certificate (Turizm Yatırımı Belgesi) is issued, which converts to an Operating Certificate upon completion.

Step 3: Hotel Star Classification

Turkey uses a star classification system for hotels regulated by the Ministry of Culture and Tourism:

Star classification affects marketing, pricing, and the types of tour operator contracts available to the facility.

Step 4: TÜRSAB License for Travel Agencies

All travel agencies must obtain a TÜRSAB operating license regardless of their size. Requirements:

  • Valid company registration
  • Office premises meeting TÜRSAB minimum standards
  • Surety bond (teminat): Currently 100,000 TRY (verify current amount at tursab.org.tr) — serves as consumer protection for pre-paid travel services
  • Qualified personnel with tourism education or experience
  • Annual membership fee payment

Travel Agency Categories

TÜRSAB classifies travel agencies into:

  • Category A: Full-service agency (domestic + international + incoming tours)
  • Category B: Domestic only
  • Category C: Incoming tourism only (foreign visitors)

Most full-service agencies apply for Category A.

Tourism Investment Incentives

The Turkish government offers significant incentives for qualifying tourism investments under Tourism Law No. 2634:

Treasury Land Allocation

The Ministry of Culture and Tourism can allocate Treasury land in Tourism Development Zones to investors through long-term lease or usufruct rights — allowing hotel and resort development without land purchase costs.

Investment Incentive Certificate

Tourism investments can obtain an Investment Incentive Certificate from the Ministry of Industry and Technology, providing:

  • VAT exemption on machinery and equipment
  • Customs duty exemption on imported equipment
  • Corporate tax reduction based on investment region
  • SGK contribution subsidies

VAT Reduced Rate for Tourism Services

Accommodation services are subject to a reduced VAT rate — verify the current applicable rate at gib.gov.tr (rates for tourism accommodation have been subject to changes).

Key Operational Requirements

Fire Safety and Building Permits

All hospitality facilities must comply with fire safety regulations under the Regulation on Fire Prevention in Buildings. A fire safety certificate is required before opening.

Food Handling Permits

Restaurants and any facility serving food must comply with food hygiene regulations and register with the local municipality’s veterinary/food safety department.

Certificate of Occupancy

Hotels must have a valid certificate of occupancy (yapı kullanma izni) issued by the local municipality confirming the building is completed to approved plans.

Health and Safety

Swimming pools, spas, and wellness facilities require inspection certificates from the Ministry of Health’s provincial health directorate.

Foreign Ownership in Turkish Tourism

100% foreign ownership of Turkish tourism companies is permitted. Foreign investors have developed some of Turkey’s most prominent hotels and resorts.
